Terms and Conditions

1. Purpose and scope

These Terms and Conditions govern the contractual relationship between Trend & Ly, a web agency based in Strasbourg and Dubai, and its clients for all digital services.

They apply to all services offered: website creation, redesign, maintenance, search engine optimization (SEO), visual identity, and any other digital service ordered.

Any order implies unreserved acceptance of these Terms and Conditions by the client.

3. Quotes and orders

Every project begins with a detailed, free, and non-binding quote, prepared after analyzing the client's needs. The quote specifies the nature of services, estimated deadlines, and the total amount.

The quote is valid for 30 days from its issue date. After this period, Trend & Ly reserves the right to modify it.

The order is considered firm and final after:

Written acceptance of the quote (signature or email confirmation)
Payment of the deposit indicated on the quote

4. Pricing and payment terms

Prices are expressed in euros (€) and are exclusive of taxes. Applicable VAT is that in effect on the invoicing date.

Payment schedule:

50% upon project validation and start
50% before final launch

Accepted payment methods:

Bank transfer
Cryptocurrency
Cash

Invoices are payable upon receipt, unless otherwise stated.

The 50% deposit paid at project start is non-refundable. It covers design, preparation, and development work already undertaken upon project validation.

In case of late payment, late payment penalties at the legal rate will be applied, as well as a fixed compensation of €40 for collection costs.

5. Delivery deadlines

Indicative deadlines are communicated in the quote. They start from receipt of the deposit and all elements necessary to begin (content, visuals, technical access).

Any delay in providing elements by the client may result in a proportional schedule delay, without liability for Trend & Ly.

In case of delay attributable to Trend & Ly exceeding 30 days from the agreed date, the client may request a proportional reduction of the remaining amount due.

6. Client obligations

The client agrees to:

Provide necessary content, images, and information within agreed deadlines
Guarantee ownership of intellectual property rights for provided elements
Validate project stages within a reasonable timeframe (mockups, development)
Pay invoices according to the agreed schedule
Designate a single point of contact for project follow-up

Client obligations may vary according to specific terms agreed in the quote or service contract.

7. Trend & Ly obligations

Trend & Ly agrees to:

Perform services professionally and according to industry standards
Respect agreed deadlines, subject to client obligations
Inform the client of project progress
Ensure confidentiality of transmitted information
Deliver a functional, responsive, and optimized website according to validated specifications

8. Validation and acceptance

At each key stage (mockups, development), the client has 7 business days to validate or request modifications. After this period without client response, the stage is deemed tacitly validated.

Upon final delivery, a 14-day acceptance period allows the client to report any malfunctions. After this period without feedback, the project is deemed compliant and accepted.

Modification requests exceeding the initial quote scope will be subject to a priced amendment.

9. Intellectual property

Transfer of intellectual property rights to the client only occurs after full payment of all amounts due.

Trend & Ly retains rights to generic elements, code libraries, and internally developed tools, which remain usable for other projects.

Unless the client objects in writing, Trend & Ly reserves the right to mention the project in its portfolio and commercial references.

10. Hosting and maintenance

Website hosting is not included in creation services, unless otherwise stated in the quote. Trend & Ly can recommend suitable hosting solutions.

Optional maintenance contracts are offered to ensure updates, backups, and technical support. Maintenance conditions are subject to a separate contract.

11. Warranty and liability

Trend & Ly guarantees correction of technical anomalies for a period of 30 days following delivery, for bugs directly attributable to its development.

Trend & Ly's liability is limited to amounts actually received for the concerned service. It cannot be held liable for indirect damages (loss of revenue, image damage).

The client remains solely responsible for content published on their website and its legal compliance.

12. Termination

In case of serious breach by either party of its obligations, the other party may terminate the contract after formal notice remaining without effect for 15 days.

In case of early termination by the client, amounts already paid remain acquired by Trend & Ly. Work performed will be invoiced pro rata.

In case of termination attributable to Trend & Ly, deposits paid will be refunded pro rata for work not performed.

13. Force majeure

Neither party shall be held liable for failure to fulfill its contractual obligations resulting from a force majeure event as defined by Article 1218 of the French Civil Code.

In case of force majeure exceeding 60 days, each party may terminate the contract without compensation, subject to payment for services already performed.

14. Data protection

Personal data collected as part of the business relationship is processed in accordance with GDPR. For more information, see our privacy policy.

15. Subcontracting

Trend & Ly reserves the right to use subcontractors for all or part of the services, without modifying its commitments to the client.

Trend & Ly remains solely responsible to the client for proper execution of services entrusted to its subcontractors.

16. Non-solicitation

During the entire contract duration and for a period of 12 months following its termination, the client agrees not to solicit, recruit, or engage, directly or indirectly, Trend & Ly's employees, freelancers, or subcontractors who participated in the project.

In case of breach of this clause, the client agrees to pay Trend & Ly a fixed indemnity equivalent to 12 months of gross remuneration of the concerned collaborator.

17. Third-party licenses

Websites developed by Trend & Ly may include third-party components, plugins, frameworks, or software (WordPress, open-source libraries, etc.) subject to their own licenses.

The client agrees to comply with the terms of these third-party licenses. Trend & Ly cannot be held responsible for changes, modifications, or restrictions imposed by publishers of these components.

18. Record keeping

In accordance with legal obligations, Trend & Ly retains contracts, quotes, and invoices for a period of 10 years from their issue date.

The client may request a copy of these documents at any time during this period.

19. Applicable law and disputes

These Terms and Conditions are governed by French law.

In case of dispute, the parties agree to seek an amicable solution. Failing agreement, the dispute will be submitted to the competent courts of Strasbourg.
